ALPHA TRUST-ANDROMEDA Investment Trust S.A. is the only listed investment fund on the Athens Stock Exchange. The company primarily invests in Greek securities of publicly listed companies on the Athens Exchange, as well as in fixed-income securities. It seeks to invest in companies with strong fundamentals, focusing on a medium- to long-term investment horizon. The portfolio is managed by ALPHA TRUST.

Founded in 1987, ALPHA TRUST is the largest and oldest independent asset manager for private and institutional clients based in Greece. It consistently ranks among the top investment managers, offering extensive expertise in managing pension funds and mutual funds for insurance organizations.

Company Establishment

ALPHA TRUST-ANDROMEDA  Investment Trust S.A. was founded on July 25, 2000, as an initiative by ALPHA TRUST, with the participation of a limited number of shareholders (fewer than 100), including ALPHA TRUST clients and other selected investors. Among these were insurance companies, other legal entities, and entrepreneurs.

Company Development

The Company’s shares were initially listed on the main market of the Athens Stock Exchange. An Extraordinary General Meeting approved the Company’s merger by absorbing Alpha Trust ORION Closed-End Investment Fund S.A., in accordance with the provisions of Laws 2190/1920 and 2166/1993. Trading of the Company’s new shares on the Athens Stock Exchange began following this merger. Later, another Extraordinary General Meeting approved the merger with the absorption of Alpha Trust – ASSET MANAGER FUND S.A., again under the provisions of Laws 2190/1920 and 2166/1993, after which the new shares of the Company began trading on the Athens Stock Exchange.

Purpose

The purpose of the Company, as defined in Article 3 of its Articles of Association, is the exclusive management of a securities portfolio in accordance with the provisions of Laws 3371/2005 and 4209/2013, supplemented by Law 4548/2018, as applicable. Specifically, the Company qualifies as an Alternative Investment Fund (AIF) under Law 4209/2013 and delegates its overall management, according to Article 6, paragraph 2b of Law 4209/2013, exclusively to an external Alternative Investment Fund Manager who meets all the requirements of Law 4209/2013.

Share Capital

The share capital amounts to €12.539.113,13, divided into 3.647.742 common registered shares with a nominal value of €3,4375 each.
